Welcome to OpenRelay. These Terms of Service ("Terms") govern your access to and use of OpenRelay's website, products, and services ("Services"). Please read these Terms carefully before using our Services.
1. Acceptance of Terms
By accessing or using our Services, or by creating an account or signing in, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.
2. Description of Services
OpenRelay provides a distributed GPU inference platform that connects users seeking GPU compute resources ("Users") with individuals and organizations providing GPU capacity ("Providers"). Our Services include:
- GPU cluster deployment and management
- Automatic failover and load balancing
- API access for inference workloads
- Dashboard for monitoring and management
- Provider tools for contributing compute resources
3. Account Registration
To use certain features of our Services, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
4. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to our systems
- Engage in cryptocurrency mining without explicit permission
- Process illegal content or conduct illegal activities
- Generate, host, or distribute content that sexually exploits or endangers minors, or that promotes violence, terrorism, or unlawful discrimination
- Harass, abuse, or harm other users or providers
- Interfere with or disrupt the integrity of our Services, or attempt to circumvent usage limits, rate limits, or billing
5. User Content and Workloads
You retain ownership of any content, data, or workloads you submit to our Services. By using our Services, you grant us a limited license to process your content solely for the purpose of providing the Services.
You are solely responsible for the content and workloads you run on our platform. You represent and warrant that you have all necessary rights to use and process such content.
Separately from that limited license, you agree that we may create aggregated, de-identified, or anonymized data derived from your content and your use of the Services. We own that data and may use, license, and disclose it for any lawful business purpose, as described in our Privacy Policy. This right survives termination of your account.
6. Provider Terms
If you participate as a Provider, you additionally agree to:
- Provide accurate information about your hardware capabilities
- Maintain reasonable uptime and availability
- Not access, store, or inspect user workloads beyond what is necessary
- Comply with all applicable laws regarding data processing
- Allow OpenRelay to verify your hardware and setup
7. Payments and Billing
Users agree to pay all fees associated with their use of the Services as described on our pricing page. Fees are charged based on actual usage and are billed monthly. All fees are non-refundable except as expressly stated in these Terms or required by law.
Providers will receive payment for compute resources provided according to our Provider Payment Terms, minus applicable platform fees.
8. Service Level and Availability
We strive to provide reliable Services but do not guarantee uninterrupted availability. Our Services run on distributed consumer hardware, and individual nodes may experience downtime. Our platform is designed to automatically route around failures.
9. Third-Party Services
The Services may integrate with or rely on third-party services, including payment processors, model and infrastructure providers, and analytics tools. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions. Our handling of your information is described in our Privacy Policy.
10. Intellectual Property
OpenRelay and its licensors retain all rights, title, and interest in and to the Services, including all related intellectual property rights. These Terms do not grant you any rights to use OpenRelay's trademarks, logos, or other brand features without our prior written consent.
11. Feedback
If you send us feedback or suggestions about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation or compensation to you.
12. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENRELAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to indemnify, defend, and hold harmless OpenRelay and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Services or violation of these Terms.
15. Termination
We may terminate or suspend your access to our Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will continue to apply.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
17. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.
18. General
These Terms, together with our Privacy Policy, constitute the entire agreement between you and OpenRelay regarding the Services and supersede any prior agreements. If any provision is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent, and we may assign them freely. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
